What is pre-pack administration?

Designed to preserve value (continuity of trade, retention of customer/supplier relationships, faster than open marketing). How does buyer finance work in a pre-pack?

Buyer needs working capital from Day 1. Invoice finance against the acquired debtor book is the standard solution. Insolvency-aware lenders typically advance 60-80% of the acquired receivables, and can fund quickly after completion if the facility is pre-arranged. Asset finance funds the acquired equipment. Both products can be pre-arranged with the lender so they trigger automatically on completion.

Pre-Pack Pool requirements 2026?

Connected party sales (where the buyer has director, shareholder or commercial connection to the insolvent company) need either creditor approval or a qualifying report from an independent evaluator before completion, under the Administration (Restrictions on Disposal etc. to Connected Persons) Regulations 2021 (SI 2021/427, legislation.gov.uk). The Pre-Pack Pool is a separate, voluntary route for an independent opinion on a connected party sale. Check cost and timing with your administrator.

Best UK lenders for pre-pack buyer finance?

Look for lenders with a track record of funding acquisitions out of administration, and ask them directly how many pre-pack deals they have funded and at what size. Some offer combined invoice and asset finance for larger deals. The insolvency practitioner running the sale can usually introduce lenders they have worked with.

Why are pre-pack invoice finance advance rates lower?

Post-completion ledger uncertainty. Customers may dispute invoices issued by the insolvent company, refuse to pay debts they believe were owed to the old entity, or use the disruption to delay payment. Lenders price this risk into a haircut: typical 60-80% advance vs 80-90% on going-concern facilities. Over the months after completion, as the ledger clears and the new entity establishes payment patterns, advance rates often increase to standard levels.

Is pre-pack administration controversial?

Yes historically. Concerns: connected party sales appearing to allow directors to walk away from debts and rebuy the business cheaply, lack of open marketing reducing recovery for unsecured creditors, opacity. The 2021 Connected Party regulations and the Pre-Pack Pool address some concerns. As of 2026, pre-packs continue but with more scrutiny and disclosure than before. Use experienced advisors and lenders to navigate the regulatory framework cleanly.
